Today October 7, 2022, Cork Distributors came to an agreement with Pemberton Fine Wines & Spirits LLC, Inc to merge. Pending a series of closing conditions and regulatory approvals, we anticipate that the merger will close on December 31, 2022, or when reasonably possible.

Cork Distributors and Red Rock recently merged allowing for Cork to expand its line of products into more fine wine. Cork currently has a very strong portfolio of wines from Australia, France, Germany, Italy, New Zealand, South Africa, South America and Spain. Cork is backed by significant suppliers (but not limited to) such as Advantage International, Banville Wine Merchants, Beaune Imports, Broadbent Wine Importers, Brown Estate, Domaine Bousquet, Felsina, Franchetti Wines, Foley Family Wines, HB Wine Merchants, Mark Herold Wines, Martinelli Winery, Napa Wine Group, Ole/Obrigado Imports, Opici Wine Group, Jorge Ordonez, Patricia Green Cellars, Seven Hills Winery, Turquoise Life, Venica & Venica, and Vino Del Sol.

While Cork Distributors currently maintains an adequate spirits portfolio, with the Pemberton merger, Cork will have a significantly expanded quality spirits portfolio to include a broader line of Bourbon, Gin, Mezcal, Tequila, and Vodka while adding an excellent portfolio of fine Cognac, Scotch, and Whiskey.

Richard Cox, CEO of Cork Distributors, said that this merger will allow for Cork Distributors to have an unrivaled portfolio of wines and spirits and it is exciting to watch the continued transformation of the business over the last 2 years.

Jeremy Wilkinson, CEO of Pemberton, said that he is delighted with the merger and would not have merged with any other distributor in Nevada. Jeremy also said that he is looking forward to a new role where he can really focus his efforts on directing sales and marketing for the combined company.

Allan Nassau, President of Cork Distributors, said that he is amazed with our progress and is looking to get the merger complete so that we can focus on sales synergies and scaling the business.
